On Dec. 2, 2019, SVB Financial Group (NASDAQ:SIVB) revealed the pricing of an offering of 14,000,000 depositary shares, each representing a 1/40th interest in a share of its 5.250% fixed-rate non-cumulative perpetual Series A Preferred Stock, liquidation amount $1,000 per share (equivalent to $25 per depositary share) at an aggregate offering price of $350 million. The offering is expected to close on December 9, 2019, subject to customary closing conditions.

SVB intends to use the net proceeds of the offering for general corporate purposes, which may include the retirement of a portion of its outstanding debt, including the early redemption of its outstanding $350 million 5.375% Senior Notes due 2020, which is set to occur on December 20, 2019.

BofA Securities, Morgan Stanley & Co. LLC, and Wells Fargo Securities, LLC are acting as joint book-running managers for the offering. Keefe, Bruyette & Woods is acting as co-manager.
